Acceptance of Terms
By accessing, registering for, or using any part of the TraderTax platform (the "Platform"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any other policies incorporated herein by reference. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
Your acceptance is confirmed through a clickwrap mechanism at the time of registration, when using any calculator or tool, and when making any payment. TraderTax retains records of your acceptance including the timestamp, IP address, and Terms version accepted.
Description of the Platform
2.1 Platform-Only Model
TraderTax is a technology platform and marketplace that connects users with independent, licensed tax professionals including Certified Public Accountants (CPAs) and Enrolled Agents (EAs) (collectively, "Tax Professionals"). TraderTax is NOT a CPA firm, accounting firm, law firm, financial advisory firm, or tax preparer.
2.2 Services Provided by TraderTax
- Online marketplace to browse and connect with independent Tax Professionals
- Secure document upload, storage, and sharing tools
- Encrypted messaging between Users and Tax Professionals
- Payment processing and billing management
- Filing status tracking and progress tools
- Tax estimation calculators and educational tools
- Notification and reminder systems
2.3 Services NOT Provided by TraderTax
- Prepare, review, or file any tax return
- Provide tax advice, opinions, or guidance
- Provide legal or financial planning advice
- Guarantee any tax outcome or refund amount
- Warrant the accuracy of any Tax Professional's work
- Represent Users before the IRS or any tax authority
User Registration & Account
3.1 Eligibility
You must be at least 18 years old and a legal resident or citizen of the United States to create an account. By registering, you represent and warrant that all information provided is accurate, current, and complete.
3.2 Account Security & Your Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. To keep your account secure, you agree to:
- Choose a strong, unique password and update it regularly
- Never share your username or password with any other person
- Log out of the Platform when using a shared or public device
- Notify TraderTax immediately at support@tradertax.net if you become aware of any unauthorized access or suspicious activity on your account
TraderTax is not liable for any loss or damage arising from your failure to maintain the security of your account credentials. TraderTax will never request your password via email or phone.
3.3 Account Termination
TraderTax reserves the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for conduct that TraderTax determines, in its sole discretion, is harmful to other Users, Tax Professionals, or the Platform.
Independent Tax Professionals
4.1 Independent Contractor Relationship
All Tax Professionals on the Platform are independent contractors, not employees, agents, partners, or affiliates of TraderTax. TraderTax does not supervise, direct, or control the tax work performed by Tax Professionals. Tax Professionals provide services directly to Users as independent contractors. However, all Users are platform clients of TraderTax for purposes of onboarding, billing, communication, and ongoing service management.
4.2 No Guarantee of Licensing or Verification
TraderTax makes no representations or warranties regarding the qualifications, credentials, quality of work, accuracy, or performance of any Tax Professional. TraderTax does not independently verify the ongoing licensure, standing, or regulatory compliance of Tax Professionals. Users are encouraged to independently verify credentials with the relevant state licensing board. TraderTax shall not be liable for any loss resulting from a Tax Professional's failure to maintain required licensure.
4.3 Your Relationship with Tax Professionals
- You are engaging the Tax Professional as an independent contractor for tax services
- Any advice, filings, or representations made are solely the Tax Professional's responsibility
- You remain solely responsible for the accuracy of all information you provide
- You are responsible for reviewing and approving all tax filings before submission
4.4 Client Relationship & Non-Circumvention
All Users are platform clients of TraderTax for purposes of onboarding, billing, communication, and ongoing service management. Tax Professionals may not solicit, accept, or continue work with TraderTax Users outside of the Platform.
Payments & Fees
5.1 All Payments Through TraderTax
All fees for tax services facilitated through the Platform must be paid exclusively through the TraderTax payment system. Any attempt to circumvent TraderTax's payment system is a material breach of these Terms.
5.2 Fee Structure
Service fees, pricing, and payment schedules are set by TraderTax and displayed at the time of engagement. TraderTax reserves the right to modify pricing at any time with reasonable notice to Users.
5.3 Refund Policy
All fees paid through the Platform are non-refundable except as required by applicable law or as explicitly approved by TraderTax in its sole discretion. Once a Tax Professional has been assigned and work has commenced, no refund will be issued. Payment disputes must be submitted to support@tradertax.net within 30 days of the charge.
5.4 Taxes on Services
You are responsible for any applicable taxes on services rendered to you through the Platform.
Data, Documents & Confidentiality
6.1 Your Data
You retain ownership of all financial and tax data you upload to the Platform. By uploading data, you grant TraderTax a limited, non-exclusive license to process and store such data solely for the purpose of providing Platform services.
6.2 Data Access by Tax Professionals
Tax Professionals assigned to your account may access your data solely through the TraderTax platform. Tax Professionals are prohibited from downloading, copying, or storing your data outside of the Platform.
6.3 Access by Authorized TraderTax Personnel
Authorized TraderTax personnel may access your account information and data when necessary to operate the Platform, including for customer support, technical troubleshooting, quality assurance, fraud prevention, and regulatory compliance. All internal access is restricted to personnel with a legitimate business need.
6.4 Your Consent to Data Access
By creating an account, you acknowledge that your account information and financial data may be accessed by: (a) the licensed tax professional assigned to your account; and (b) authorized TraderTax personnel for Platform operations, in accordance with our Privacy Policy.
6.5 Data Retention
TraderTax retains your data in accordance with its Privacy Policy and applicable law. Tax records may be retained for the minimum period required by applicable federal and state law.
Acceptable Use
You agree NOT to use the Platform to:
- Submit false, fraudulent, or misleading tax information
- Impersonate any person or entity
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any part of the Platform
- Engage in any activity that disrupts the Platform or other users' experience
- Solicit Tax Professionals to work outside the Platform
- Use Platform tools for any illegal purpose
- Harvest, scrape, or collect user data from the Platform
Disclaimer of Warranties
Limitation of Liability
TRADERTAX'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE LESSER OF (A) TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIVE HUNDRED DOLLARS ($500.00).
Indemnification
You agree to indemnify, defend, and hold harmless TraderTax, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any information you submit to the Platform; or (e) any tax services rendered to you by a Tax Professional.
Force Majeure
TraderTax shall not be liable for any delay, failure, or interruption in the performance of its obligations arising out of events beyond its reasonable control, including but not limited to: internet or telecommunications outages; cyberattacks or ransomware; natural disasters; pandemic or public health emergency; acts of government or regulatory action; or third-party service provider failures (including Firebase, Stripe, or other infrastructure providers).
Platform Security & Liability for Security Incidents
TraderTax employs commercially reasonable safeguards to protect user data, including encryption, role-based access controls, and ongoing security monitoring. No technology system can be guaranteed completely secure.
To the fullest extent permitted by applicable law, TraderTax is not liable for security incidents — including unauthorized access, data breaches, cyberattacks, credential theft, or third-party infrastructure failures — that result from factors outside our reasonable control.
Electronic Communications Consent
By creating an account or using the Platform, you expressly consent to receive all communications from TraderTax electronically, including these Terms, the Privacy Policy, filing status notices, payment confirmations, and marketing communications (where applicable). You may withdraw consent to receive marketing communications at any time via the unsubscribe link in any marketing email.
Dispute Resolution & Arbitration
13.1 Informal Resolution
Before initiating arbitration, you must first contact TraderTax at support@tradertax.net with a written description of the claim. TraderTax will attempt to resolve the dispute within 60 days.
13.2 Binding Arbitration
If informal resolution fails, any claim shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in Austin, Texas, or by video conference for disputes under $10,000.
13.3 Class Action Waiver
All arbitrations shall be conducted on an individual basis only. You may not bring or participate in any class action, collective action, or representative proceeding against TraderTax.
13.4 Exceptions
Either party may bring claims in small claims court. TraderTax may seek injunctive or equitable relief in any court to protect intellectual property or Platform security.
Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Subject to the arbitration clause above, you consent to exclusive jurisdiction and venue in the state and federal courts located in Travis County, Texas.
Modifications to Terms
TraderTax reserves the right to modify these Terms at any time. We will notify Users of material changes via email or a prominent notice on the Platform. Continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms.
Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and TraderTax and supersede all prior agreements.
16.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 No Waiver
TraderTax's failure to enforce any provision shall not constitute a waiver of its right to enforce such provision in the future.
16.4 Contact
Offshore & Foreign Brokerage Accounts
17.1 Platform Role and Limitations
TraderTax is a technology platform and coordination service — not a CPA firm, law firm, or registered investment advisor. All tax preparation and filing services related to Foreign Accounts are performed exclusively by independent licensed tax professionals assigned through the Platform. TraderTax does not independently verify the accuracy, completeness, or legal standing of information provided by Users regarding Foreign Accounts, and does not assume responsibility for outcomes resulting from incomplete or inaccurate disclosures.
17.2 User Responsibility for Full and Complete Disclosure
You are solely and exclusively responsible for disclosing all Foreign Accounts to TraderTax and your assigned tax professional. Full disclosure includes but is not limited to:
- The name and country of domicile of each foreign financial institution
- Account numbers or partial identifiers for each Foreign Account
- The maximum value of each account at any point during the applicable tax year
- All transaction records, including deposits, withdrawals, trades, and internal transfers
- Any foreign currency information relevant to the account
- Prior foreign account reporting history, including previously filed FBAR or FATCA forms
- Any foreign taxes paid or withheld on account activity
Failure to provide complete and accurate Foreign Account information may result in inaccurate filings, missed reporting deadlines, missed reporting requirements, and potential civil or criminal penalties under applicable U.S. law. TraderTax and the assigned tax professional bear no responsibility for outcomes arising from your failure to fully disclose Foreign Account information.
17.3 Applicable Foreign Reporting Requirements
Depending on the nature, value, and activity of your Foreign Accounts, additional U.S. reporting obligations may apply. These may include, without limitation:
- FinCEN Form 114 (FBAR) — required if the aggregate maximum value of all foreign financial accounts exceeded $10,000 at any time during the calendar year
- IRS Form 8938 (FATCA) — required based on the total value of specified foreign financial assets and your filing status
- Additional forms or schedules as required by applicable federal or state law
Your assigned tax professional will assess applicable reporting requirements based solely on the information you provide. TraderTax does not guarantee that all applicable reporting requirements will be identified or fulfilled if you provide incomplete, inaccurate, or untimely information.
17.4 Premium Service Requirement for Foreign Account Clients
Due to the materially greater complexity of foreign financial account reporting, Users with offshore or foreign brokerage accounts are required to engage TraderTax services through the Strategize It tier or a designated premium-tier equivalent. Lower-tier service packages do not include the review, documentation, and reporting assessment capacity required for Foreign Account engagements. TraderTax reserves the right to decline or defer Foreign Account engagements that do not meet minimum documentation requirements or that fall outside the scope of available Tax Professional capacity.
17.5 Client Acknowledgements — Foreign Account Users
By using the Platform in connection with Foreign Account filing services, and by accepting the offshore addendum in the required agreements flow, you expressly acknowledge and agree that:
- You are responsible for providing complete, accurate, and timely records for all Foreign Accounts
- Incomplete, inaccurate, or undisclosed information may cause errors, delays, missed deadlines, or non-compliance with applicable reporting requirements
- TraderTax's liability in connection with Foreign Account filings is strictly limited as set forth in Section 9 of these Terms
- You have independently reviewed, or will independently review, your obligations under applicable U.S. law regarding foreign financial account reporting
- Offshore brokerage platforms may be subject to regulatory restrictions applicable to U.S. persons, and you are solely responsible for your own compliance with any such restrictions
- TraderTax does not assist in, condone, or facilitate the circumvention of any applicable platform terms, regulatory requirements, or reporting obligations
- You understand that engaging TraderTax's services does not constitute legal advice or guarantee regulatory compliance
17.6 No Guarantee of Compliance
TraderTax does not guarantee tax compliance, filing accuracy, or regulatory compliance in connection with Foreign Accounts. TraderTax's obligations under any service agreement are limited to coordinating the engagement of a qualified tax professional and facilitating the documentation, onboarding, and communication process. The quality, accuracy, and completeness of Foreign Account filings depend entirely on the completeness and accuracy of information provided by you to your assigned tax professional.
17.7 Limitation of Liability — Foreign Accounts
In addition to the general limitations set forth in Section 9, TraderTax's liability in connection with any Foreign Account engagement — including any claim relating to FBAR non-filing, FATCA non-compliance, incorrect foreign income reporting, or any other foreign account reporting matter — is expressly limited to the fees paid by you for the specific engagement giving rise to the claim, and shall not exceed five hundred dollars ($500.00) under any circumstances. This limitation applies regardless of the theory of liability asserted, including contract, tort, negligence, or strict liability.
